1. Acceptance of these terms

These terms govern your use of launchcapital.ca (the "Site"), operated by Launch Capital Inc. ("Launch Capital", "we", "us"). By using the Site you agree to these terms and to our Privacy Policy. If you do not agree, please do not use the Site.

2. No offer and no advice

The Site is for general information only. Nothing on it is an offer to sell, or a solicitation of an offer to buy, any security or investment, and nothing on it is investment, financial, legal, accounting or tax advice. Information about our portfolio and past activity is historical and does not predict or guarantee future results.

3. Founder tools and resources

The checklists, calculators, directories and articles we publish are provided as general educational aids. Calculators such as the dilution and valuation tool use simplified assumptions and are illustrative only. Funding programs, eligibility rules, rates and deadlines change, so confirm details with the program provider and take advice from your own professional advisors before acting.

4. Pitches and submissions

When you send us a pitch, message or other submission:

• We are under no obligation to respond, meet, invest or keep the submission, and sending it does not create any commitment, partnership or fiduciary relationship.
• We do not agree to hold submissions in confidence unless we have signed a written confidentiality agreement with you. Please do not include trade secrets or highly sensitive information in an initial pitch.
• You confirm that you have the right to share the information and that it is accurate to the best of your knowledge.
• We invest in and speak with many companies, including some that may be similar to yours. Reviewing your pitch does not restrict us from doing so.

5. Acceptable use

You agree not to misuse the Site. This includes attempting to gain unauthorized access, interfering with its operation, scraping it in bulk without permission, submitting unlawful, misleading or harmful content, or using it to send spam.

6. Intellectual property

The Site and its content, including text, graphics, logos and design, belong to Launch Capital or its licensors and are protected by intellectual property laws. Portfolio company names and logos belong to their respective owners. You may view and share links to the Site for personal or internal business use, but you may not copy, modify or republish its content for other purposes without our written permission.

7. Third-party links

The Site may link to websites we do not control. We are not responsible for their content or practices, and a link is not an endorsement.

8. Disclaimer of warranties

The Site and its content are provided "as is" and "as available", without warranties of any kind, express or implied, including accuracy, completeness, fitness for a particular purpose or uninterrupted availability. We may change or remove content at any time.

9. Limitation of liability

To the fullest extent permitted by law, Launch Capital and its directors, officers, employees and affiliates are not liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, data or business opportunity, arising from your use of or reliance on the Site. Nothing in these terms limits liability that cannot be limited under applicable law.

10. Governing law

These terms are governed by the laws of the Province of Ontario and the federal laws of Canada that apply there. The courts of Ontario have exclusive jurisdiction over any dispute arising from them.

11. Changes to these terms

We may update these terms from time to time. The effective date above shows the latest version, and continued use of the Site after a change means you accept it.
